End User License Agreement

1. Agreement to Terms

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "you") and Hands-on Data Works LLC, doing business as DocuCenter ("Company," "we," "us," or "our") for the use of DocuCenter's document processing and management services, including any integrations with third-party services such as QuickBooks Online, SharePoint, and other connected platforms (collectively, the "Service").

By accessing or using the Service, you agree to be bound by this EULA. If you do not agree to all the terms and conditions of this EULA, you may not access or use the Service.

2. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include:

• The right to sublicense, sell, resell, or transfer the Service to any third party
• The right to modify, adapt, or create derivative works of the Service
• The right to reverse engineer, decompile, or disassemble any part of the Service
• The right to use the Service for any unlawful purpose or in violation of any applicable laws

3. Third-Party Integrations

The Service may integrate with third-party services, including but not limited to:

• QuickBooks Online - for accounting and invoice management
• Microsoft SharePoint - for document storage and collaboration
• Stripe - for payment processing
• AI/ML Services - for document analysis and data extraction

Your use of these third-party integrations is subject to the respective terms of service and privacy policies of those third-party providers. We are not responsible for the practices, policies, or content of any third-party services.

When you connect your QuickBooks Online account to DocuCenter, you authorize us to access your QuickBooks data as necessary to provide the Service, including creating invoices, reading company information, and synchronizing financial data. You can revoke this access at any time through your QuickBooks account settings or through the DocuCenter integrations page.

4. User Responsibilities

You agree to:

• Provide accurate and complete information when creating an account
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access to your account
• Use the Service only for lawful purposes and in accordance with this EULA
• Not use the Service to process, store, or transmit any illegal or harmful content
• Comply with all applicable laws and regulations in your use of the Service

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

You retain ownership of all data you submit to the Service. You grant us a limited license to use, process, and store your data solely to provide and improve the Service.

6. Intellectual Property

The Service, including all content, features, and functionality, is owned by DocuCenter and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCUCENTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

9. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of this EULA. Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by contacting us.

10. Changes to This EULA

We reserve the right to modify this EULA at any time. We will notify you of any changes by posting the new EULA on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new EULA.

11. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
